PLEASE READ THIS TERMS & CONDITIONS AGREEMENT CAREFULLY BEFORE USING THIS WEBSITE.

Cascade365, a family of companies consisting of Cascade Capital, LLC, Cascade Capital Funding, LLC, and Cascade Receivables Management, LLC, (collectively, "we," "us," “Cascade365,” or the ”Cascade365 Family of Companies”) provides this website and website-related services, if any, (collectively, the "Site") for the use of our business customers and prospective business customers, subject to your compliance with the terms and conditions set forth in this agreement (the "Agreement"). This Agreement governs the relationship between us and you, the Site visitor, with respect to your use of the Site. It is important that you read carefully and understand the terms and conditions of this Agreement. BY USING THE SITE, YOU AGREE TO BE BOUND BY THIS AGREEMENT. If you do not agree to these terms and conditions, you must not use the Site.

We may, at any time, at our sole discretion, revise or otherwise update this Agreement by posting an amended Agreement on the Site; any changes that we make to this Agreement will be effective immediately upon posting.     1. Important Notices. We make available the information and materials on the Site (the "Materials") for general informational purposes only. Further, the Materials are general in nature and may not apply to particular factual or legal circumstances. In addition, unsolicited emails and information sent to us do not create a relationship with us, will not be considered confidential and may be disclosed to others pursuant to our Privacy Policy.
    1. Rules of Conduct. You agree to comply with all applicable laws, rules and regulations in accessing and/or using the Site and/or any Materials. In addition, your use of the Site is conditioned on your compliance with the following rules of conduct. You agree not to:

    1. Cascade365's Proprietary Rights. You acknowledge and agree that the Site and the Materials are, and shall remain, the property of Cascade365 and/or its licensors and are protected by copyright, trademark and/or other proprietary rights and laws. Except as expressly authorized in advance by us, you agree not to copy, distribute, transmit, display, perform or create derivative works of the Site or any of the Materials, provided that, subject to your compliance with this Agreement, we do grant to you a limited, personal, revocable, non-transferable and non-sub licensable license to (a) access the Site and the Materials via the Internet solely for purposes of viewing such materials and (b) to print out pages of the Site for your personal, non-commercial use.

Trade names, trademarks and service marks of Cascade365 include the Cascade365 and related entity names, logos, and any associated logos. All trade names, trademarks and service marks on the Site that are not owned by us or our affiliates are the property of their respective owners. The trade names, trademarks and service marks owned by Cascade365 or its affiliates, whether registered or unregistered, may not be used in connection with any product or service that is not either ours or one of our affiliate's product or service or in any other manner that is likely to cause confusion or dilution. Nothing on the Site should be construed as granting, by implication, estoppel or otherwise, any right or license to use any of Cascade365's (or its affiliates') trade names, trademarks or service marks without our (or the relevant affiliate's) prior express written permission.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CASCADE365 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CASCADE365 DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. CASCADE365 MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE MATERIALS OR ANY OTHER CONTENT MADE AVAILABLE THROUGH THE SITE. YOUR USE OF THE SITE AND THE MATERIALS IS AT YOUR SOLE RISK.

    1. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CASCADE365, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR THE MATERIALS; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR RELATED TO THE SITE; (C) ANY MATERIALS OBTAINED FROM THE SITE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT CASCADE365 HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL CASCADE365'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THIS AGREEMENT EXCEED ONE HUNDRED DOLLARS ($100.00). THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY.

    1. Indemnification

You agree to indemnify, defend, and hold harmless Cascade365, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Site or the Materials; (b) your violation of this Agreement; (c) your violation of any applicable law, rule, or regulation; or (d) your violation of any third party's rights, including without limitation any intellectual property, privacy, or proprietary right.

    1. Termination

We reserve the right, in our sole discretion, to suspend or terminate your access to all or any part of the Site at any time, with or without notice, for any reason, including without limitation your breach of this Agreement. Upon termination, your right to use the Site will immediately cease. All provisions of this Agreement that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

    1. Privacy

Your use of the Site is also subject to our Web Privacy Policy, which is incorporated into this Agreement by reference. Please review our Web Privacy Policy for information about how we collect, use, and share information in connection with the Site.     1. Governing Law and Jurisdiction

This Agreement and any dispute arising out of or relating to it or the Site shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Sonoma County, California for the resolution of any dispute arising out of or relating to this Agreement or your use of the Site.

    1. General Provisions

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. No waiver of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or condition or of any other term or condition. Our failure to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. This Agreement constitutes the entire agreement between you and Cascade365 with respect to your use of the Site and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and Cascade365 regarding the Site. The section headings used in this Agreement are for convenience only and have no legal effect.
